28.2 The Vendor may terminate this Contract by notice in writing to the
Purchaser (whether or not the Vendor has a right of appeal) if:
28.2.1 any condition imposed on the Approval is not acceptable to the
Vendor; or
28.2.2 any requirement imposed in relation to the certification or
registration of the Plan, in the opinion of the Vendor, too onerous;
28.2.3 any Authority refuses the Approval or imposes unacceptable
conditions in the Approval for any reason whatsoever (whether or
not the Vendor has a right of appeal); or
28.2.4 any Approval required is granted after a date which in the opinion
of the Vendor is too onerous or too late in time.
28.3 If by the expiry of the Registration Period:
28.3.1 the Plan has not been registered; or
28.2.2 all necessary Approvals have not been issued;
either Party may terminate this Contract by notice in writing at any time
after the expiry of the Registration Period (and prior to the later of the
actual registration of the Plan and the issue of the Approval).
28.4 If this Contract is so terminated all moneys paid pursuant to this Contract
will be refunded to the Purchaser and neither Party will be entitled to
exercise any of the other Excluded Rights. The right to terminate this
Contract pursuant to this Special Condition is unrestricted except as
otherwise provided in this Contract.
