最近在学习stamp duty，请前辈赐教。

最近在学习有关stamp duty的信息。
查询state revenue office上有关信息，什么时候会有stamp duty产生。
简单来说有以下几种情况。
Transfer or conveyance of real property (land and buildings)
Transfer of shares
Lease or agreement for lease of real property
Assignment or transfer of lease of real property
Mortgages, bonds, debentures or covenants
Deeds of settlement
Applications for registration or transfer of a motor vehicle or commercial trailer
……
其他都好理解，只是其中一项DEEDS OF SETTLEMENT，给出的解释是
If you settle either real or personal property with a third party, you are
liable to pay stamp duty.
我有点不明白的是，这里的you，是指vendor还是buyer？
对于双方来说都是需要settle的，莫非双方都要缴纳stamp duty？
还有一个third party，是指solicitor 或者conveyancer？
自己能力不足，不太理解，请前辈赐教。

对于vendor来说，比如一个小型房地产开发商，我了解的是在购买land的时候需要缴纳stamp duty，需要缴纳land tax，那他在建成后出售的时候会产生一些legal fee，valuation fee ，titling fee，之类的费用，那有没有stamp duty产生？或者还有别的比较特别的duty或者费用？
