 我找工作比较吃力，找了比较长的时间，最后找到了一个 我作为自由职业者的 软件编程工作，要求我有ABN账号。 前天对方给我发了份合同，想让我签约。 我也没有太多的经验，而且不太懂澳洲的行规，自己研究了大半天也不知是否 应该签这个合同，总感觉合同规定比较苛刻，不知道大家的合同是这个样子的吗，请求帮助。
合同有 6页，我找出几处比较艰难的对方，请大家给个建议：
以下是一些合同条目：
Author 方指 雇主，雇佣我做软件项目
Sub-contractor方 指我
Restraint
1 Sub-contractor agrees that he will not, whilst he is associated with the author and for a period of 10 years following such association, without the prior written consent of the author, be involved directly and indirectly in the promotion, advertising, sale, licensing assignment, hire, lease, distribution, or other release of the software in any medium or by and means anywhere in the world.
2 Sub-contractor agrees that he will not, without the prior written consent of the author, for a period of 10 years following the execution of this agreement be involved with directly or indirectly, or work for directly or indirectly, any client of the author. Sub-contractor will check with the author if they are not sure of any client relationship to author.
Termination
5.1 Subject to the clause, this agreement will be terminated:
(1) By manual agreement in writing of all parties;
(2) when either the author or sub-contractor is wound up by order of a court.
Assignment
The sub-contractor must not assign, declare itself a trustee of, create any encumbrance in respect of or disclose of, any of its rights and interests under this agreement, except with the prior written consent of the author.
Choice of jurisdiction and law (司法权)
This agreement will be governed by and construed in accordance with the law from time to time in force in NSW, Australia and the parties to this agreement submit to the non-exclusive jurisdiction of the courts of that state.
Waiver(放弃，弃权)
1 The failure, delay or omission by a party, to exercise any power or right conferred upon that party by this agreement will not operate as a waiver of that power or right, nor will any single exercise of any such power or right preclude any other or future exercise of the power, or the exercise of any other power of right under this agreement.
2 A waiver of any provision of the agreement, or consent to any departure by a party from any provision of this agreement, must be in writing and signed by all parties and is effective only to the extent for which it is given.
No partnership or agency
1 The right, duties, obligations and liabilities of the parties under this agreement are several and not joint or collective. Each party will be individually responsible only for its obligations as specified in this agreement.
2 Nothing contained or implied in this agreement will create or constitute, or be deemed to create or constitute, a partnership between the parties for the purpose of the partnership act, income Tax assessment Act or any other law of any jurisdiction.
Sub-contractor Agreement
Sub-contractor will not user any author code for other projects, customers or clients. 我写的软件属于雇主，之后我就不能在应用到其他的项目中。
其中的Assignment 和No partnership or agency部分没明白，说的是什么意思，其他的条款感觉比较苛刻，我认为自己能从事10年的软件工作生涯，其中Restraint 部分 是否理解为没经过对方的同意我就不能发布软件文章，公开论坛，或者将自己做的成果重新应用到其他的公司软件产品，甚至不能从事软件工作。而且我也不能找雇主客户的工作，可是我根本就不知道雇主有多少客户，将来我说找到了新的工作，雇主说是他的客户，我怎么办？
请大家给个建议，这个合同是否应该签，我怎么办？与雇主商意修改合同？如果修改，如何修改好？ 如果对方不同意修改我又该如何做？ |
